5.ThisAgreementimposesnoobligationsonRECIPEINTinrespecttoINFORMATIONand/orTESTMATERIALwhichRECIPIENTcanestablishbycompeten )wasinthepossessionofRECIPIENTbeforethedisclosurehereunder;b)isorlaterbecomesamatterofpublicknowledgethroughnofaultofRECIPIENT;c)isreceivedbyRECIPIENTfromabonafidethirdpartyfreeofanydutyofconfidentialitytoDISCLOSER;d)isdisclosedbyDISCLOSERtoathirdpartywithoutadutyofconfidentialityimposedthereon;e)isdevelopedbyRECIPIENTindependentlyofthedisclosurehereunder;orf)isrequiredtobedisclosedbytheoperationoflaw.6.IncaseofpositiveresultsitistheinterestofbothpartiestodiscussthepossibilityofcooperationbetweenCASandBAYER.Forthisreasonseparateagreementswouldbeconcluded,butitisunderstoodthatnothinginthisAgreementbindseitherpartytoenterintoanyfutureagreementorarrangement.

5. 接收方可以依据以下有力的证据确立接收方对本协议有关的信息和/或试验材料不承担任何义务：a) 在下文的内容透露之前接收方已经拥有； b) 不是接收方的过错，已经，或是过不久即为公众所知晓的内容；c) 接收方是从一真诚的、对透露方免于任何保密责任的第三方处获得的；d) 是由透露方对未赋予保密责任的第三方透露的；e) 由接收方按下文透露的内容独立开发的；或者f) 法律运作要求透露的信息。6. 如果实际的结果牵涉到双方的利益，CAS和BAYER将商讨合作的可能性。出于这一理由，将缔结各分项协议，但可以理解的是本协议没有任何内容能够约束任一方参与将来的任何协定或安排。
